Copyright and Intellectual Property Notice

Unless expressly stated otherwise in a signed writing, all rights, title, and interest in and to the following are owned by or licensed exclusively for the benefit of the Rights Holders:

• Cafyntra product name, branding, and marketing materials
• Solearis Suite and Solearis Softwares names, logos, and brand elements
• Spade Technologies names, logos, and attribution marks as they appear on the Website
• Website text, layout, design system, graphics, icons, animations, and copy
• Mock dashboards, UI mockups, device frames, screenshots, diagrams, and illustrative visuals
• Documentation, feature descriptions, workflows, and structured content
• Compilation, selection, and arrangement of Website materials

No transfer of ownership occurs by accessing the Website. All rights not expressly granted in writing are reserved by the Rights Holders.

The Rights Holders assert protection under, without limitation:

• The Copyright Act, 1957 (as amended), including civil and criminal remedies for infringement
• The Trade Marks Act, 1999 (as amended), for brand and mark protection
• The Information Technology Act, 2000 (as amended), including provisions addressing computer-related offences and unauthorised access
• The Indian Contract Act, 1872, and applicable common law principles of confidentiality and passing off where relevant
• Any other applicable Indian statutes, rules, and regulations

Infringement, piracy, unauthorised reproduction, circumvention of technological measures, or commercial exploitation without licence may attract injunctions, damages, account of profits, delivery-up, criminal prosecution, and other remedies available under Indian law.

Without limiting Indian law, the Rights Holders also rely on international copyright and related rights frameworks, including principles reflected in:

• The Berne Convention for the Protection of Literary and Artistic Works
• The Agreement on Trade-Related Aspects of Intellectual Property Rights (TRIPS)
• The WIPO Copyright Treaty and related WIPO instruments, to the extent applicable
• National copyright laws of other countries that extend protection to foreign works on a national treatment or reciprocity basis

The Rights Holders reserve all rights worldwide. Assertion of international norms does not waive exclusive jurisdiction of Indian courts at Nagpur for disputes relating to the Website or this Notice.

Without prior written licence from Solearis Softwares (and, where developer IP is implicated, Spade Technologies), you must not:

• Copy, reproduce, republish, download (except transient caching by a standard browser), distribute, transmit, display, perform, or create derivative works from any Protected Material
• Scrape, crawl, spider, harvest, mirror, or systematically extract Website content by automated or manual means
• Frame, inline-link, or present Website content in a manner that suggests affiliation or endorsement
• Use any Protected Material to train, fine-tune, ground, evaluate, or improve any AI, ML, LLM, or dataset
• Reverse engineer, decompile, or attempt to reconstruct source code, design tokens, or proprietary UI patterns for competitive use
• Remove, obscure, or alter copyright, trademark, or proprietary notices
• Register or use domain names, social handles, or marks confusingly similar to Cafyntra, Solearis, or Spade Technologies marks
• Pass off your products or services as Cafyntra, Solearis Suite, Solearis Softwares, or Spade Technologies

Nothing on the Website grants any implied licence under copyright, trademark, patent, trade secret, or other IP. Any licence, if granted, must be in a signed writing issued by an authorised representative of Solearis Softwares (and Spade Technologies where applicable), and will be narrowly construed.

Visuals shown on the Website are for representative and illustrative purposes only. Real product visuals, layouts, data, and features may vary. This does not diminish copyright or other IP protection in those illustrative materials. See the Disclaimer for the full representative visuals statement.

The Rights Holders will enforce their rights aggressively. Remedies pursued may include, without limitation, temporary and permanent injunctions, damages (including statutory or enhanced damages where available), account of profits, delivery-up and destruction of infringing materials, domain and takedown actions, criminal complaints under applicable Indian law, and recovery of legal costs to the fullest extent permitted.

To report alleged infringement of Rights Holders' IP, or to submit a good-faith notice regarding third-party content (if any) hosted by us, email adnanwagh@spadetechnologies.in with:

• Your full name, organisation, postal address, email, and phone
• Identification of the copyrighted or protected work claimed to be infringed
• URL or precise location of the allegedly infringing material
• A statement of good faith belief that use is not authorised
• A statement that the information in the notice is accurate, and that you are the owner or authorised to act
• Your physical or electronic signature

This notice channel is provided for operational convenience and does not constitute consent to any foreign jurisdiction, service of process regime, or waiver of exclusive Nagpur jurisdiction under Indian law. We may ignore incomplete, abusive, or bad-faith notices.

Any third-party names or marks mentioned on the Website are the property of their respective owners and are used only for identification or descriptive purposes. No affiliation or endorsement is implied unless expressly stated.

This Notice is governed by the laws of India. Exclusive jurisdiction for all disputes arising out of or relating to this Notice or Protected Materials on the Website lies with the competent courts at Nagpur, Maharashtra, India.
